By accessing and using UppRank Business ("the Service", "we", "us", or "our"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use this service. These terms apply to all users of the Service, including businesses, customers, and visitors.

2. Service Description and Workflow

UppRank Business is a platform that helps businesses improve their online presence by facilitating authentic Google reviews from satisfied customers. Our service operates as follows:

•Business owners create an account, search for their business on Google Maps, and add business details including keywords, products/services, and staff information
•Business owners download personalized QR codes that can be displayed at their business location
•When customers scan the QR code, they are directed to a review page where they select the product or service they actually used and the staff member who assisted them
•Our platform uses best-in-class generative AI models to provide personalized review writing suggestions based on the customer's actual selections and experiences
•Customers review the suggestions, can modify them, write their own review, or choose a suggestion that best matches their experience
•Customers are redirected to Google where they post the review themselves using their own Google account

Important: All reviews are written and posted by real customers based on their genuine experiences. Our platform provides writing assistance only - we do not post reviews on behalf of customers or create fake reviews.

3. Service Features

3.1 Free Plan

New users receive 5 free review credits to test our service. With the free plan, you can:

•Generate a limited number of review suggestions (5 credits)
•Download QR codes for your business
•Redirect customers to your Google review page

Free plan users do not have access to premium features such as AI-assisted writing, business analysis, or auto-reply functionality.

3.2 Subscription Plans

Paid subscription plans provide access to premium features. We offer three subscription tiers:

•Silver (6 months): Unlimited review assistance, instant QR code downloads, analytics, and standard support
•Gold (12 months): All Silver features plus QR standee delivery, priority support (24/7 WhatsApp), and auto-reply functionality
•Diamond (24 months): All Gold features with best value pricing

Premium features include: unlimited review assistance, AI-assisted writing using best-in-class generative AI models, business and competition analysis, automated review responses, QR standee delivery (12-month and 24-month plans), priority support, and business management.

4. Compliance with Google's Terms of Service and Review Policies

Mandatory Compliance: You must use our Service in strict compliance with Google's Terms of Service and Google's Review Policies. Violation of Google's policies may result in immediate account termination.

4.1 Google Review Policy Requirements

•All reviews must be written and posted by real customers who have had genuine experiences with your business
•Reviews must reflect actual customer experiences and cannot be fabricated, copied, or generated without customer review and approval
•You may not post reviews on behalf of customers or use automated systems to post reviews directly to Google
•You may not offer incentives, discounts, free products, or compensation in exchange for positive reviews
•You may not create fake reviews, use fake accounts, or manipulate review systems
•Review suggestions provided by our platform are assistance tools only - customers must review, modify if needed, and post reviews themselves using their own Google accounts
•You are responsible for ensuring all reviews posted through our platform comply with Google's content policies

4.2 Google Terms of Service Compliance

•You must comply with all applicable Google Terms of Service when using our Service
•You may not use our Service to violate Google's policies regarding spam, manipulation, or fraudulent activity
•You are responsible for maintaining the accuracy of your Google Business profile information

Consequences of Violation: Violation of Google's review policies or Terms of Service may result in: (1) immediate termination of your UppRank Business account without refund, (2) removal of reviews by Google, (3) suspension or removal of your Google Business profile, and (4) potential legal action.

5. User Accounts and Registration

To use our Service, you must create an account by providing your mobile number and verifying it with an OTP (One-Time Password). You must:

•Provide accurate, complete, and current information
•Maintain and update your account information as needed
•Safeguard your account credentials and password
•Be responsible for all activities that occur under your account
•Notify us immediately of any unauthorized use of your account

You may manage multiple businesses from a single account. Each business receives its own unique QR code, customized review suggestions, and separate analytics. Important: Each business added to your account requires a separate subscription payment. Subscriptions are charged per business, not per account. If you add multiple businesses to your account, you will need to purchase a subscription for each business separately.

6. Prohibited Uses

You agree not to use our Service:

•For any unlawful purpose or to solicit others to perform unlawful acts
•To violate any international, federal, provincial, state, or local regulations, rules, laws, or ordinances
•To violate Google's Terms of Service, Review Policies, or any other Google policies
•To create, post, or facilitate fake, fraudulent, misleading, or spam reviews on Google or any other platform
•To post reviews on behalf of others or use automated systems to post reviews
•To offer incentives, compensation, or rewards in exchange for reviews
•To manipulate Google search rankings, review systems, or business listings through fraudulent means
•To infringe upon or violate our intellectual property rights or the intellectual property rights of others
•To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any person or entity
•To submit false or misleading information about your business, services, or identity
•To upload or transmit viruses, malware, or any other type of malicious code
•To attempt to reverse engineer, decompile, or disassemble any software contained on our platform
•To use the Service in any way that could damage, disable, overburden, or impair our servers or networks

7. Content and Review Responsibility

You are solely responsible for all content associated with your account, including:

•Business information, keywords, products, and services listed in your profile
•Ensuring that review suggestions are used appropriately and that customers post authentic reviews
•Compliance with all applicable laws, regulations, and platform policies (including Google's policies)
•The accuracy and legality of all information you provide

We reserve the right to review, modify, or remove any content that violates these Terms or applicable policies. We are not responsible for the content of reviews posted by customers on Google.

8. Payment and Subscription Terms

8.1 Payment Methods

We accept payments through Razorpay, supporting credit cards, debit cards, net banking, UPI payments, and digital wallets. All payments are processed securely, and subscriptions are activated immediately upon successful payment.

8.2 Subscription Terms

•Subscriptions are prepaid for the selected duration (6, 12, or 24 months)
•Subscriptions are charged per business, not per account. Each business added to your account requires a separate subscription payment
•Subscriptions do not auto-renew - they simply expire at the end of the paid period
•Subscriptions are non-refundable once activated, except as required by applicable law
•You may continue to redirect customers to your Google review page even after subscription expiration, but premium features will not be available

8.3 Refunds

Subscriptions are non-refundable. Refund requests may be considered only for non-subscription services under exceptional circumstances, such as technical issues preventing service usage that cannot be resolved, and must be submitted within 7 days of purchase.

9. Intellectual Property

The Service, including all content, features, functionality, software, and materials, is owned by UppRank Business and is protected by copyright, trademark, and other intellectual property laws. You may not:

•Copy, modify, distribute, sell, or lease any part of our Service
•Reverse engineer or attempt to extract the source code of our software
•Use our trademarks, logos, or brand names without our written permission
•Remove any copyright or proprietary notices from our materials

10. Privacy Policy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the collection and use of information as described in our Privacy Policy.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

•Breach of these Terms and Conditions
•Violation of Google's Terms of Service or Review Policies
•Engagement in fraudulent, deceptive, or illegal activities
•Use of the Service in a manner that could harm us, our users, or third parties

Upon termination, your right to use the Service will immediately cease. If your account is terminated due to violation of Google's policies or these Terms, you will not be entitled to any refund of subscription fees.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, UppRank Business disclaims all warranties, express or implied, including but not limited to:

•Warranties of merchantability, fitness for a particular purpose, and non-infringement
•Warranties that the Service will be uninterrupted, secure, or error-free
•Warranties regarding the accuracy, reliability, or quality of review suggestions
•Warranties that reviews will be accepted by Google or that your Google Business profile will not be penalized

We do not guarantee that reviews posted through our platform will improve your Google rankings or business performance.

13. Limitation of Liability

To the fullest extent permitted by law, UppRank Business, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

•Loss of profits, revenue, data, use, goodwill, or other intangible losses
•Damages resulting from your use or inability to use the Service
•Damages resulting from actions taken by Google regarding your business profile, reviews, or account status
•Damages resulting from reviews posted by customers or third parties
•Damages resulting from termination of your account

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

We are not responsible for any actions, decisions, or policies of Google regarding your business profile, reviews, or account status. Google may remove reviews, suspend profiles, or take other actions at its sole discretion.

14. Indemnification

You agree to indemnify, defend, and hold harmless UppRank Business, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

•Your use of the Service
•Your violation of these Terms
•Your violation of Google's Terms of Service or Review Policies
•Your violation of any third-party rights
•Content you submit, post, or transmit through the Service

15. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of India, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. Material changes will be notified through email or a prominent notice on our website.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and UppRank Business regarding the use of the Service and supersede all prior agreements and understandings.
